1. Junior Associate
Primary responsibilities:
-
Drafting various legal documents, corporate documents (resolutions, minutes, PoAs, etc.) in English and Ukrainian languages.
-
Drafting, reviewing and negotiating various non-resident agreements including loan agreements, NDAs with involvement of non-residents, etc.
-
Drafting, reviewing and negotiating various Ukrainian law agreements (real-estate sale- purchase/lease; security agreements (pledge, guarantee, mortgage); construction and service agreements, NDAs, etc.).
-
Preparation of legal opinions and memo on various issues.
-
Assisting with KYC and procedures of finance monitoring.
-
Liaising with non-resident corporate secretaries, counterparties, notaries.
-
Monitoring legislative changes and court practice.
-
Helping team with due diligence of real estate objects and legal entities.
Qualifications:
-
2+ years of confirmed work experience in the reputable law firm or in-house.
-
Excellent written and spoken communication skills in English, Ukrainian and Russian.
-
Ability to establish priorities, work fast and independently.
-
Strong analytical thinking and research, interpersonal skills, ability to establish priorities, work fast and independently (when needed).
-
Experience in an IT business and/or in M&A transactions is an advantage.
This is a full-time position. The position reports to the Chief Legal Officer. Place of work: Kyiv, Ukraine.

2. Senior Associate
We are seeking for a highly motivated, ambitious individual with a proven track record of consistently achieving goals.
Primary responsibilities:

Business and deal structuring.
-
Drafting transactional documents, and сonducting due diligence and risks identification,
mitigation.
-
Preparation and analysis of memorandums re: corporate governance, tax, investments, currency regulations, state procurement.
-
Contract management: drafting, reviewing and approving of contracts.
-
Litigation: interests protection strategy developing, drafting of lawsuits, claims etc.,
representation in courts and government authorities (not mandatory).
-
Providing company’s management and staff with legal opinions on a wide range of issues.
-
Support of compliance function (corporate compliance, anti-trust checks, developing and
implementation of anti-corruption policy from scratch, adaptation and implementation of the rules and policies).
Qualifications:
-
5+ of confirmed work as an associate or head of legal in a reputable companies (Investment and\or foreign financial\RE companies and\or Family office experiences).

Excellent knowledge of corporate and commercial/civil law.
-
Excellent legal drafting and research skills.
-
Practical experience in M&A procedures (distressed), deal structuring, conducting due diligences (both English and Ukrainian law).
-
Other legal structuring (SPA, SHA, debt structuring, entering into or withdrawal from business,
etc. – Venture Capitals/startups, Real Business, etc.).
-
Business-minded approach and commitment to excellence, and оpenness to discussions and
self-improvement.

Effective communications and negotiations skill.
-
Fluent English, Ukrainian and Russian.

3. Financial Controller
We are seeking for a highly motivated, ambitious individual with a proven track record of consistently achieving goals.
Primary responsibilities:

Planning/Monitoring/Control of projects’ operational performance (monthly and annual operational and cash flow budgets),
-
Working capital, procurement and expense control;
-
Annual and quarterly budgeting and reporting in accordance with Managerial and IFRS
accounting policies
-
Investment projects performance evaluation
-
Audit of foreign entities’- liaise with auditors, prepare documents, coordinate processes
within the company and preparation of consolidated financial statements
-
Increase effectiveness of business processes/policies/procedures, improve controlling
environment and its transparency.
-
Evolve Management Information System through development of company’s
accounting system including software implementation.
Qualifications:
-
3-5 years of experience in a senior financial position, preferably at least 2 years of experience within real estate.
-
Experience in cash flow management and internal reporting.
-
Knowledge in IFRS, experience in practical application of IFRS, preferably experience in
BIG4.
-
Advanced user of accounting software 1C, excel, preferable knowledge of budget and
construction software AVK or alike.
-
Knowledge in Ukrainian tax system.
-
Strong financial and accounting skills.
-
Experience with Project based business model is an advantage.
-
Strategic thinking and leadership skills.
-
Responsible, accurate, loyal, with high ethical standards.
-
Effective communications and negotiations skill.
-
Openness to discussions and self-improvement.
-
Fluent or upper intermediate level of English.
